Mapthena Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Mapthena (the “Service”), operated by A Memory Forever, a Washington-based 501(c)(3) nonprofit organization (“Mapthena,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Mapthena is an online platform that connects people searching for assisted living options (“Visitors”) with assisted living facilities that list their availability, pricing, and related information (“Facility Users”). Mapthena is a listing and communication platform only. Mapthena is not a healthcare provider, is not an assisted living facility, and does not provide medical, healthcare, or placement advice or services.

2. Eligibility and Accounts

You must be at least 18 years old to create an account. If you create a Facility User account on behalf of a facility, you represent that you are authorized to act on that facility’s behalf and to submit information about it, including licensing, availability, and pricing information.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at remember@amemoryforever.org if you suspect unauthorized use of your account.

3. Facility Listings and Availability Disclaimer

IMPORTANT — PLEASE READ CAREFULLY.

Facility availability, pricing, bed counts, and related details displayed on Mapthena are self-reported by Facility Users, typically through periodic check-ins by SMS, email, or web form. Mapthena does not independently verify each individual availability update in real time.

While we take reasonable steps to facilitate accurate and current information, availability and pricing can change quickly, and Mapthena makes no guarantee, warranty, or representation as to the accuracy, completeness, or current status of any listing at any given moment. Visitors should independently confirm availability, pricing, licensing, and all other material details directly with the facility before making any decisions, including travel, deposits, or care placement decisions.

Mapthena is not responsible for, and disclaims all liability arising from, inaccurate, outdated, or incomplete information submitted by Facility Users.

4. Subscriptions, Payments, and Trials

Facility Users may access the Service through a paid annual subscription or, where offered, a free trial period of a specified length. Paid subscriptions are billed through our payment processor, Stripe, at the rate presented at checkout. Fees are non-refundable except as required by law or as otherwise expressly stated at the time of purchase.

Free trials, where offered, do not require payment information and activate immediately upon acceptance. Trials are provided at Mapthena’s discretion and do not automatically convert to a paid subscription unless you affirmatively subscribe.

We reserve the right to change subscription pricing prospectively, with notice provided to active Facility Users before the change takes effect for their next billing cycle.

5. SMS and Email Communications

By providing a phone number and opting in, you agree to receive automated text messages from Mapthena (a service of A Memory Forever) related to weekly availability check-ins and account-related matters. Message and data rates may apply. Consent is not a condition of using the Service. Reply STOP to unsubscribe from SMS messages, or HELP for assistance. 7. Intellectual Property

The Mapthena name, logo, website design, and underlying software are the property of A Memory Forever and are protected by applicable intellectual property laws. You may not copy, modify, or create derivative works of the Service without our prior written consent.

8. Photos and Listing Content

If you upload photos or other content to your listing, you confirm that you own the content or have the right to publish it, and that you have obtained all consents required to do so. This includes written consent from any identifiable resident, or their legal representative, who appears in a photo. You are solely responsible for the content you upload.

You grant Mapthena and A Memory Forever a non-exclusive, royalty-free license to display your uploaded content on the Service in connection with your listing. You may delete your photos at any time from your dashboard. Mapthena may remove any content at its discretion, including content that appears to show residents without consent or that is inaccurate, misleading, or inappropriate.

9. Third-Party Services

The Service relies on third-party providers, including Stripe (payments), Resend (email delivery), and Twilio (SMS delivery). We are not responsible for the acts, omissions, or availability of these third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT LISTING INFORMATION IS ACCURATE OR CURRENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MAPTHENA AND A MEMORY FOREVER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE, INCLUDING RELIANCE ON ANY LISTING INFORMATION. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Mapthena, A Memory Forever, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or information you submit through the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms. You may stop using the Service and, for Facility Users, may request account closure at any time by contacting us.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles, unless otherwise required by the mandatory law of your state of residence.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved informally by contacting us. If informal resolution is unsuccessful, the parties agree that any dispute shall be resolved through binding arbitration on an individual basis, and not as a class action, in accordance with the rules of the American Arbitration Association, except where prohibited by applicable law.

15. California Residents

Under California Civil Code Section 1789.3, California resident users are entitled to know that they may file complaints with the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. Material changes will be communicated through the platform or by email where appropriate.
